The following was decided at the Annual General Meeting of Nilörngruppen AB held 14 May 2025:

The Income Statement and the Balance Sheet, the Consolidated Income Statement and the Consolidated Balance Sheet for 2024 were approved. The Annual General Meeting granted discharge to the members of the Board of Directors and the President for their management during the 2024 operating year.

Dividend to shareholders was decided to be paid at SEK 1.50 per share (total SEK 17.1 million) in accordance with the Board’s proposal. The record date for the right to receive dividends was set for 16 May 2025 and a dividend to shareholders is expected to be paid on 21 May 2025.

The Annual General Meeting decided that directors’ fees in a total amount of SEK 700,000 be paid, with SEK 280,000 to the Chairman of the Board of Directors and SEK 140,000 to each of the members of the Board of Directors. Fees to the auditors would be paid according to approved invoice.

The Annual General Meeting decided to re-elect Petter Stillström, Magnus Johansson, Per Wagnås and Annika Elfström. Petter Stillström was appointed to serve as Chairman of the Board of Directors.

The Annual General Meeting decided to elect Öhrlings PricewaterhouseCoopers AB, with Nicklas Kullberg as chief auditor.

Guidelines for compensation to members of senior management was adopted in accordance with the proposal of the Board of Directors.

The Board of Directors was authorised until the next-following Annual General Meeting to decide on new issuance, on one or more occasions, of up to 1,000,000 class B shares in accordance with the proposal of the Board of Directors.

Beslutsförslag

Godkännande av dagordning (punkt 4)

Den röstlängd som föreslås godkänd under punkt 4 på dagordningen är den röstlängd som upprättats av Nilörngruppen AB, baserat på bolagsstämmoaktieboken, och kontrollerats och tillstyrkts av justeringspersonen.

Val av en eller två justeringsmän (punkt 5)

Till person att jämte ordföranden justera protokollet föreslås Fredrik Classon eller, vid förhinder för honom, den eller dem som styrelsen i stället anvisar. Justeringspersonens uppdrag innefattar även att kontrollera att röstlängden blir rätt återgiven i stämmoprotokollet.

Utdelning (punkt 8b)

Styrelsen föreslår en vinstutdelning om 1,50 kronor per aktie. Som avstämningsdag för rätt till utdelning föreslås fredagen 16 maj 2025. Om årsstämman beslutar enligt detta förslag, beräknas utdelning komma att utsändas från Euroclear onsdagen 21 maj 2025.

Antal styrelseledamöter, arvode till styrelse och revisorer samt val av styrelseledamöter, ordförande och revisor (punkt 2, 9-12)

Nilörngruppen har ingen valberedning då ägarbilden är tydlig i och med att AB Traction äger en majoritet av rösterna. Bolaget avviker således från Kodens regler avseende valberedning.

Förslag avseende val av ordförande vid årsstämma, styrelseval och i förekommande fall revisorsval samt förslag till arvode åt styrelseledamöterna och revisorerna lämnas därför av bolagets majoritetsägare och presenteras i kallelse till årsstämma samt på bolagets hemsida.

Huvudägaren har ansvaret för att lämna förslag i valärenden och har underrättat styrelsen om följande förslag:

• Punkt 2 – att Petter Stillström eller vid förhinder för honom, den som styrelsen i stället anvisar, ska utses till ordförande vid årsstämman;
• Punkt 9 – 11 Styrelsen föreslås bestå av fyra personer och inga suppleanter. Till styrelsen föreslås omval av Per Wagnås, Annika Elfström, Magnus Johansson och Petter Stillström. Till styrelsens ordförande föreslås omval av Petter Stillström. Johan Larsson och Ann-Christine Hvittfeldt har avböjt omval.
• Punkt 12 – föreslås omval av PwC, som utsett Nicklas Kullberg till huvudansvarig revisor.

Godkännande av styrelsens ersättningsrapport (punkt 13):

Styrelsen har upprättat en ersättningsrapport som föreslås godkännas av årsstämman. Ersättningsrapporten finns bland styrelsens fullständiga förslag på bolagets hemsida.

Bemyndigande för styrelsen att besluta om emissioner (punkt 14):

Styrelsen föreslår att årsstämman bemyndigar styrelsen att, under tiden fram till nästa årsstämma, vid ett eller flera tillfällen, med eller utan företrädesrätt för aktieägarna, besluta om nyemission av sammanlagt högst 1 000 000 aktier av Serie B. Beslutet om nyemission får innehålla bestämmelser om att emitterade aktier får betalas med apport, genom kvittning eller i övrigt tecknas med villkor enligt 13 kap 5 § första stycket p. 6 aktiebolagslagen. Grunden för emissionskursen skall vara aktiens marknadsvärde. Styrelsen bemyndigas även att i övrigt bestämma villkoren för nyemissionen. Syftet med bemyndigandet är att bolaget skall kunna emittera aktier som köpeskillingslikvid i samband med förvärv av andra företag eller andelar av företag och/eller tillgångar, som styrelsen bedömer vara av värde för koncernens verksamhet.
Ett beslut av årsstämman i enlighet med styrelsens förslag förutsätter att det biträtts av aktieägare med minst två̊ tredjedelar (2/3) av såväl de avgivna rösterna som de aktier som är företrädda vid årsstämman.

Majoritetsregler

Styrelsen föreslås ha rätt att företa de justeringar och ändringar som är nödvändiga för registrering vid Bolagsverket och Euroclear Sweden AB av stämmans beslut och bemyndigande.

Antal aktier och röster samt bolagsstämmohandlingar

I bolaget finns 11 401 988 aktier, varav 960 000 aktier av serie A och 10 441 988 aktier av serie B motsva­rande sammanlagt 20 041 988.

Årsredovisningen, revisionsberättelsen, styrelsens och revisorernas yttranden, styrelsens fullständiga förslag till beslut enligt dagordningens punkt 13 och huvudägarens motiverade yttrande kommer att hållas tillgäng­liga på bolagets huvudkontor, Wieslanders Väg 3-5, 504 31 Borås, och på bolagets hemsida, www.nilorn.se senast från den 23 april 2025 samt kommer att sändas till aktieägare som så begär och uppger adress. Handling­arna kommer att framläggas på stämman genom att de hålls tillgängliga på bolagets hemsida och på bolagets huvudkontor. Även bolagsstämmoaktieboken tillhandahålls på bolagets huvudkontor.
